Terms of Service

These terms are the agreement between you and Cuemby for using TechScore. We've kept them clear and readable on purpose — you deserve to know what you're agreeing to. This is a plain-language summary pending final legal review.
1. Agreement to these terms
By accessing or using TechScore, you agree to these terms and to our Privacy Policy. If you're using the Service on behalf of an organization, you confirm you're authorized to bind that organization, and "you" includes it. If you don't agree, please don't use the Service.
2. Who can use TechScore
You must be at least 16 (or the age of majority where you live) and able to form a binding contract. Access to partner and company workspaces is by invitation or registration, and is scoped to the organization you belong to.
3. Your account and security
You're responsible for keeping your credentials safe and for activity under your account. Use a strong, unique sign-in and enable two-factor authentication where available. Tell us right away at hello@cuemby.com if you suspect unauthorized access.
4. The Service
TechScore lets partners assess companies against the Four Pillars methodology and lets companies complete assessments and receive reports. We may improve, change, or discontinue features over time, and we'll give reasonable notice of material changes that affect you.
5. Assessments are not investment advice
TechScore scores and reports are informational tools to support diligence and decision-making. They are not investment, legal, financial, or professional advice, and they don't guarantee any outcome. Decisions you make based on them are your own responsibility.
6. Acceptable use
Don't misuse the Service: no accessing data you're not authorized to, no reverse-engineering or scraping, no uploading unlawful, infringing, or malicious content, no interfering with the platform's operation or security, and no using it to build a competing product. We may suspend or terminate access for violations.
7. Your content and data
You retain ownership of the data, documents, and content you submit ("Customer Content"). You grant Cuemby a limited license to host, process, and use Customer Content solely to provide and improve the Service and to produce your assessment. You're responsible for having the rights to share what you upload.
8. Intellectual property
The Service, the Four Pillars methodology, software, and all related IP are owned by Cuemby and its licensors and are protected by law. These terms don't grant you any rights in our IP except the limited right to use the Service as intended. Feedback you share may be used by us without obligation.
9. Confidentiality
Assessment data and non-public information exchanged through the Service is confidential. Each party agrees to protect the other's confidential information and to use it only as needed to use or provide the Service, except where disclosure is required by law.
10. Third-party services
The Service may link to or integrate third-party tools we don't control. We're not responsible for their content, practices, or availability, and your use of them is governed by their own terms.
11. Disclaimers and limitation of liability
To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind. Cuemby is not liable for indirect, incidental, special, or consequential damages, and our total liability for any claim is limited to the amount you paid us for the Service in the 12 months before the claim (or USD 100 if none).
12. Indemnification
You agree to defend and indemnify Cuemby from claims, losses, and expenses arising out of your Customer Content, your use of the Service, or your violation of these terms or applicable law, except to the extent caused by Cuemby's own breach.
13. Term, termination, governing law, and contact
These terms apply while you use the Service; you may stop anytime, and we may suspend or end access for breach or risk to the platform. Provisions that should survive termination will. We may update these terms and will post changes here with a new date; continued use means acceptance. Questions? Email hello@cuemby.com.
